This agreement is between Zyncori Technologies Private Limited, a company incorporated in India (CIN U62099TZ2026PTC040428), registered office 5/12-1-15, Aaseervatha Samuthaya, Metturdam, Mettur, Salem - 636401, Tamil Nadu ("Zyncori", "we", "us"), the company that makes and runs Staytric, and the customer named when this agreement is accepted ("the Customer", "you"). It covers your subscription to Staytric — the web dashboard, the mobile app, the channel manager connection and the direct booking page (together, "the Service").
It has two parts: these terms, and the Data Processing Agreement in Schedule A. Our Privacy Policy explains how we handle the personal data of the people who use Staytric.
1.1 You accept this agreement by ticking the box and pressing Accept in Staytric. That acceptance is an electronic contract, valid under section 10A of the Information Technology Act, 2000. We keep a record of who accepted, when, from which device and network address, and the exact text shown, and we email you a copy.
1.2 The person accepting confirms that they are authorised to bind the Customer. If they are not, they are personally responsible to us as if they were the Customer.
2.1 We give you and the staff you add access to the Service for running your properties, for as long as your subscription is active.
2.2 We improve Staytric all the time. We may change, add or retire features, but we will not remove a core function you rely on — bookings, the calendar, the channel connection, invoicing and your data export — without at least 30 days' notice.
2.3 We aim to keep the Service available at all times, and we back up your data every night to encrypted storage. We do not promise uninterrupted service: maintenance, updates and outages at our providers or at the online travel agencies can affect it. We tell you about planned maintenance that will interrupt the Service.
3.1 You decide who in your organisation has access and with what role. You are responsible for what is done under your accounts, for keeping passwords private, and for removing access when someone leaves.
3.2 You will not use the Service for anything unlawful (including data protection, consumer, tax and accommodation licensing laws); try to break, probe or get around its security; copy, resell or reverse-engineer it; share logins or let anyone use an account that was not issued to them; read it by scraping or automated means other than the features we provide; or use it to send spam, or content that is deceptive, offensive, sexually explicit or infringes anyone's rights.
4.1 The fee is the one agreed when your subscription was set up, as shown in Staytric under Billing. It is based on the number of rooms in each property.
4.2 Monthly plans are billed at the end of the month for that month: the invoice is issued on the last day of the month and is due by the 7th of the next. Quarterly and yearly plans are billed in advance, at the start of the period. A one-time onboarding charge, if one was agreed, is invoiced when your property is handed over to you.
4.3 Fees are exclusive of GST. Once we are registered for GST, it is added to invoices issued from then on at the applicable rate.
4.4 If an invoice is still unpaid on the 15th of the month it fell due, your account becomes view-only: you and your staff can still see every booking and all your data, but cannot make changes until it is paid. We do this rather than lock you out so that you can always see who is arriving.
4.5 We may change our prices with at least 30 days' notice. A new price applies from your next billing period after the notice ends.
5.1 This agreement starts when you accept it and continues until it is cancelled.
5.2 You may cancel at any time by writing to us. A monthly plan ends at the end of the month in which you cancel, and that month is invoiced as usual. A quarterly or yearly plan runs to the end of the period already paid; fees already paid are not refunded.
5.3 We may end this agreement with 30 days' notice for any reason; if we do, we refund the unused part of any period paid in advance. We may end it at once if you seriously breach it — including non-payment for more than 60 days after the due date — or if your use of the Service is unlawful.
6.1 Your data is yours. Bookings, guest details, rates, invoices, staff records and everything else you or your guests put into Staytric belong to you. You give us permission to hold and use it only to provide the Service to you, as set out in Schedule A.
6.2 You can export your data at any time from Staytric.
6.3 When this agreement ends, you have 30 days to export your data. After that we delete it from Staytric, and the deletion is complete within 90 days of the end. Copies already inside our encrypted backups are not edited; they are used only to recover from a disaster and expire on the backup schedule, within two years. We keep only what the law requires us to keep — such as the invoices we issued to you, which tax law requires us to retain for eight years.
6.4 You are responsible for collecting your guests' data lawfully, for telling them how it is used, and for meeting the legal duties of a hotel — such as guest registration and reporting foreign guests (Form C) to the authorities. Staytric helps with these; it does not do them for you.
7.1 Staytric sends your availability and rates to online travel agencies (OTAs) such as Booking.com, Airbnb, Agoda and MakeMyTrip through Channex, our channel manager provider, and brings their bookings back. Your contract with each OTA — including their commissions and their rules — is between you and that OTA.
7.2 We are not responsible for what an OTA or Channex does or fails to do, or for overbookings caused by delays or errors on their side. You are responsible for the rates, availability and restrictions you set; check them in Staytric and on the OTA.
7.3 Through the channel connection you will not:
These are the conditions on which our channel manager provider, Channex, provides the connection, and they apply to you as they apply to us.
7.4 If your use of the channel connection breaks clause 7.3, or puts the connection of other properties at risk, we may pause your channel connection. We will tell you first and give you a reasonable chance to put it right, unless the risk is urgent, in which case we pause it at once and tell you straight away. Your bookings, and everything else in Staytric, keep working while it is paused, and we restore the connection as soon as the problem is fixed.
7.5 You will message guests through Staytric only about their booking and stay, unless the guest has agreed to receive other messages and the law allows them.
8.1 Each of us keeps the other's confidential information private and uses it only for this agreement.
8.2 Staytric — the software, its design and its name — belongs to Zyncori. This agreement gives you the right to use it, not ownership of it. If you send us suggestions, we may use them freely.
9.1 We will provide the Service with reasonable skill and care. Beyond that, and to the extent the law allows, the Service is provided as it is, and we do not promise that it will be free of errors or suit every purpose you have.
10.1 Our total liability to you under or in connection with this agreement, whatever the cause, is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
10.2 Neither of us is liable to the other for loss of profit, revenue, bookings, goodwill or business opportunity, or for any indirect or consequential loss.
10.3 Nothing in this agreement limits liability that cannot be limited by law, including for fraud.
10.4 You will compensate us for any claim brought against us by a guest, an authority or anyone else because of data you entered unlawfully or because of how you used the Service in breach of this agreement.
11.1 We may update this agreement. We give you at least 30 days' notice of a change, by email and in Staytric, where you can read the new version and accept it. If you do not agree with it, you may cancel under clause 5.2 before it takes effect, without paying for any period after that date. You are never locked out of Staytric for not accepting a change: until you accept it, the version you accepted continues to apply to you.
11.2 A new customer accepts the version in force when they first sign in.
12.1 We send notices to the email address of your account owner. You send notices to [email protected], or by post to Zyncori Technologies Private Limited, 5/12-1-15, Aaseervatha Samuthaya, Metturdam, Mettur, Salem - 636401, Tamil Nadu.
13.1 This agreement is governed by the laws of India. The courts at Salem, Tamil Nadu have exclusive jurisdiction over any dispute arising from it.
13.2 Before going to court, each of us will first try to settle a dispute by talking to the other in good faith for at least 30 days.
14.1 This agreement, with Schedule A, is the whole agreement between us about the Service and replaces anything said or written before. If a court finds part of it unenforceable, the rest still applies. You may not transfer this agreement without our written consent; we may transfer it to a company that takes over Staytric, and we will tell you if we do. Neither of us is responsible for a failure caused by events beyond reasonable control.
This schedule is made under the Digital Personal Data Protection Act, 2023 ("the Act") and the rules made under it.
A1. Roles. For the personal data of your guests and staff that you put into Staytric, you are the Data Fiduciary and Zyncori is your Data Processor. We process that data only to provide the Service and only on your instructions, which are this agreement and the way you use Staytric — unless the law requires otherwise, in which case we tell you first unless the law forbids it.
A2. Our people. Only Zyncori personnel who need access to support you or run the Service have it, and they are bound to keep the data confidential.
A3. Security. We protect the data with reasonable security safeguards, including: encryption of all traffic; encrypted nightly backups; role-based access so that each of your staff sees only what their role allows; two-factor sign-in, available to every user; ID proof images held in private storage, never at a public address; Aadhaar numbers stored encrypted and shown only as their last four digits, with the full number visible only to your owners, admins and managers, each viewing recorded with its reason; and logs of access to the system.
A4. Sub-processors. We use these providers to run the Service, each bound to protect the data to at least the standard of this schedule:
We tell you at least 15 days before adding or replacing a sub-processor. If you object on reasonable grounds and we cannot address it, you may cancel under clause 5.2 without paying for the period after the change. Some of these providers process data outside India, which the Act permits except to countries the Government restricts.
A5. Breaches. If we become aware of a breach affecting your data, we tell you without delay and in any event within 24 hours, with what we know, and we keep you updated, so that you can inform the Data Protection Board and the people affected as the Act requires. We also report to CERT-In as the law requires.
A6. Helping you. We help you respond to requests from your guests and staff to access, correct or erase their data, and to meet your other duties under the Act, to the extent the Service allows.
A7. Deletion. One year after a guest checks out, their full Aadhaar number and any Aadhaar photo are deleted, leaving the last four digits. At the end of this agreement we delete the data as set out in clause 6.3.
A8. Information. On reasonable request, once a year, we give you the information you need to show that this schedule is being followed.
